TERMS & OPERATING AGREEMENT

Terms of Service

Welcome to AgenAI (https://agenai.io), operated by Matteo Tadiello in Sweden (“AgenAI”, “we”, “us”, or “our”). By creating an account or using the AgenAI service, you agree to these Terms of Service and our Privacy Policy.

1. The AgenAI Service & Operating Mandate

AgenAI provides an AI co-founder workspace that helps founders and teams plan work, manage company documents, track CRM and financial records, and interact with connected third-party services. You control what actions agents may take through your workspace Settings, including Manual vs. Auto approval modes, permitted tools, connected accounts, and spending ceilings.

2. Account Registration & Security

You must provide accurate account information and keep your login credentials secure. Workspace owners and administrators are responsible for managing team member roles and reviewing external actions authorized within their company workspace.

3. Connected Third-Party Accounts & Bring-Your-Own-Key (BYOK)

When you connect your own AI model provider API keys or external accounts (including Gmail, Google Ads, Resend, Stripe, WordPress, GitHub, Linear, Slack, HubSpot, or PostHog), you represent that you are authorized to connect those accounts. Your third-party providers bill their usage directly according to their own terms, and you may disconnect any integration at any time in Settings → Connections.

4. Acceptable Use

You agree not to use AgenAI to violate any applicable law, infringe intellectual property or privacy rights, send unsolicited bulk email (spam), attempt unauthorized access to any system, or violate the terms of service or acceptable use policies of Google or any other connected provider.

5. Subscriptions, Usage Credits & Cancellation

Paid subscriptions and prepaid AI/compute usage credits are billed in advance as shown on the Pricing page. You may cancel your subscription at any time in Account & subscription (`/profile`); cancellation stops future recurring renewals while preserving access through the end of your current billing period.

6. Intellectual Property & Your Company Data

You retain full ownership of all company data, documents, records, and content you create or import into your AgenAI workspace. You grant AgenAI a limited license to host, process, and transmit that data solely to provide the service to you.

7. Disclaimer of Warranties & Limitation of Liability

AI-generated drafts, research, and financial summaries can contain errors and should be reviewed by you before relying on them for legal, financial, or external business commitments. To the maximum extent permitted by applicable law, AgenAI is provided “as is” without warranties of any kind, and our aggregate liability arising out of or relating to the service shall not exceed the fees paid by you to AgenAI in the twelve (12) months preceding the claim.

8. Governing Law & Disputes

These Terms are governed by the laws of Sweden, excluding its conflict-of-law rules. Any dispute arising out of or in connection with these Terms shall be resolved by the courts of Sweden, without prejudice to any mandatory consumer protection rights you may have under EU/EEA law.
